Client Agreement with an ArtistThis Client Agreement (hereinafter referred to as the "Agreement") is entered into between the artist (hereinafter referred to as the "Artist") and the client (hereinafter referred to as the "Client") and governs the terms of collaboration in the field of artistic services. Please carefully review the following conditions.1. General Conditions1.1. The Artist undertakes to provide the Client with artistic services, including but not limited to creating and/or providing artworks in accordance with the Client's requirements.1.2. The Client agrees to pay the Artist the agreed-upon amount for the provided services, as per the terms specified in section 2 (Payment).2. Payment2.1. The cost of artistic services and payment methods must be agreed upon between the Artist and the Client before commencing the work.2.2. Payment is made in two stages:2.2.1. The first payment stage amounts to 40% of the total sum and must be made by the Client after confirming the sketches provided by the Artist within the agreed-upon timeframe. The payment method is discussed at the first stage. The work will not commence until the completion of the first payment stage.2.2.2. The second payment stage amounts to the remaining 60% of the total sum and must be made by the Client after the completion of the work by the Artist and the absence of any claims from the Client. After full payment, the Client gains full access to the final artwork.2.3. In case of untimely payment of the first or second payment stage, the Artist has the right to suspend or terminate the provision of services until full payment is received.3. Copyright3.1. The Artist retains the copyrights to the created artworks unless otherwise agreed with the Artist.3.2. The Client agrees to use the artworks solely for personal use unless otherwise agreed with the Artist.3.3. The Client is not entitled to transfer, distribute, modify, or use the artworks for commercial purposes without the written permission of the Artist.3.4. The Client may transfer, distribute, modify, or use the artworks according to the agreed-upon terms with the Artist.3.5. The Artist has the right to distribute, modify, or use the artworks on their platforms for any purposes, unless otherwise agreed with the Client.4. Confidentiality4.1. All information materials exchanged between the parties in the course of performing this Agreement shall be treated as confidential information and shall not be disclosed to third parties without the prior written consent of the disclosing party.4.2. Both parties undertake to take all reasonable measures to protect confidential information from unauthorized access or use.5. Term and Termination5.1. This Agreement comes into effect upon signing by both parties and remains in force until all obligations under it are fully fulfilled, unless otherwise specified in additional agreements.5.2. Either party has the right to terminate this Agreement in case of a material breach of the Agreement's terms by the other party. In this case, the parties must notify each other in writing of their intention to terminate the Agreement.6. Order Cancellation6.1. The order can be fully canceled by both the Client and the Artist at any stage of work.6.2. If the order is canceled before receiving sketches, the Client can cancel the order without any consequences.6.3. If the order is canceled after the first payment stage, depending on the amount of work completed (see "Work in Progress" section), the cost of unfinished work is deducted, and completed work is paid for. The amount paid for the first stage is non-refundable.6.4. In case of order cancellation by the Artist, the amount is refunded to the Client depending on the work done. If the Artist has completed only part of the work, the paid amount for unfinished work will be refunded to the Client. The paid amount for completed work is non-refundable.6.5. The order cannot be canceled after the completion of the work. After completing the work, the Artist must be paid the full amount agreed upon with the Client according to the contract. Any claims regarding completed work will be addressed on an individual basis.7. Final Provisions7.1. Any changes and additions to this Agreement must be made in writing and signed by both parties.7.2. In case of disputes or disagreements, the parties must seek to resolve them through negotiations and mutual agreement.
